Welcome to legaladjacency.com, a website owned and operated by Martin Finestone Professional Corporation d/b/a Legal Adjacency (”Legal Adjacency”).
If you do not agree to this agreement, then you must stop using this website.
1. THIS IS A CONTRACT
These terms of use describe both Legal Adjacency’s and your respective rights and responsibilities for accessing and using the legaladjacency.com website or a legaladjacency.com subdomain (collectively, the “Website”).
By using the Website, you agree to this agreement, which includes not only these terms of use, but also all policies and other agreements referred to in the terms of use or those documents.
2. ACCESSING AND USE
You may use the Website only if you are of the age of majority where you live or you can form legally binding contracts under law. You cannot use the Website if you live in a jurisdiction where accessing the Website is illegal or prohibited. It is your responsibility to find out whether using the Website is lawful for you. You must comply with all laws applicable to you for using the Website.
Subject to this agreement, Legal Adjacency grants you a personal, non-exclusive, royalty-free, revocable, non-transferable, limited right to use the Website and access the content and materials provided through the Website. You may download content from the Website only for your personal, non-commercial use. You will need Legal Adjacency’s written permission to use downloadable content for any other purpose.
You must not, and may not help others to, use the Website to:
- violate Legal Adjacency’s or its licensors’ intellectual property rights;
- deface, modify, or manipulate the Website or any content or materials provided through the Website;
- reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer, or create derivative works of the Website or any content or materials provided through the Website;
- circumvent or disable any security or technological features of the Website; or
- misappropriate the identity of, or obtain personally identifiable information about, any Website users or any Legal Adjacency personnel.
3. CHANGES TO THE WEBSITE OR CHANGES TO THIS AGREEMENT
Legal Adjacency may modify or stop all or parts of the Website.
We reserve the right to revise the agreement at our sole discretion. Any revisions to the agreement will be effective upon posting the revised agreement on the Website. We will take reasonable steps to notify you about any material changes to the agreement. Your continued use of the Website after a posted change, with or without notice, forms binding acceptance of the revised agreement.
4. NO LAWYER-CLIENT RELATIONSHIP
Accessing the Website does not create a lawyer-client (also known as a lawyer-client) relationship, nor does using the content or tools provided from the Website. Those portions of the Website that allow you to communicate with Legal Adjacency personnel are for convenience. No communication you receive from Legal Adjacency personnel through these features will create a lawyer-client relationship.
If you engage Legal Adjacency to provide legal advice, you will need to enter into a written engagement agreement that will create the lawyer-client relationship between you and Legal Adjacency. That engagement agreement includes the terms for us to provide you with legal services. There is no lawyer-client relationship formed, and Legal Adjacency is under no duty to act as your lawyer, unless we both sign an engagement agreement.
You may have an initial consultation or other interaction with Legal Adjacency before formally entering a lawyer-client relationship. These initial consultations or interactions, however, are only the beginning for dealing with your legal matter and do not constitute legal advice or create a lawyer-client relationship.
5. WEBSITE DOES NOT PROVIDE LEGAL ADVICE
The information provided by Legal Adjacency and the content on the Website are for informal and informational purposes and do not constitute legal advice. If you need legal advice for a specific problem, you should obtain specific legal advice by setting up an appointment with Legal Adjacency (or other legal counsel) to discuss your specific legal issues.
6. PRIVACY
Legal Adjacency values and respects your privacy. You can view our statement of policies and procedures covering our collection, use, and disclosure of personally identifiable information here (“Privacy Policy”). The Privacy Policy provides your rights and Legal Adjacency’s responsibilities about Legal Adjacency’s collection and use of personally identifiable information. We will not use personally identifiable information in ways inconsistent the Privacy Policy. By using the Website, you are consenting to Legal Adjacency’s collection and use of your personally identifiable information under the Privacy Policy.
We may update the Privacy Policy at any time. If you continue to use the Website after Legal Adjacency has updated the Privacy Policy, those changes will then apply to how we may collect and use your personally identifiable information. Privacy Policy changes are effective once an updated version gets posted to the Website.
7. INTELLECTUAL PROPERTY
Legal Adjacency and its licensors retain all of their respective rights on the Website, including its design and content and all materials available for download from Website.
Legal Adjacency’s name along with any other Legal Adjacency product or service name, logo, or slogan displayed on the Website are Legal Adjacency’s intellectual property. Nothing in this agreement grants you a license or right to use any trademarks displayed on the Website. You may not copy, imitate, or use them, in whole or in part, without our prior written permission.
8. INDEMNIFICATION
You agree to indemnify and hold harmless Legal Adjacency and its officers, directors, employees, against any claims, demands, expenses (including reasonable legal fees), or damages made or claimed by any individual or entity other than Legal Adjacency arising from: (i) your breach of this agreement; or (ii) your violation of any law or rights of any other individual or entity.
9. NO WARRANTIES
Legal Adjacency provides the Website on an “as is” and “as available” basis. Using the Website will be at your own risk.
Legal Adjacency expressly disclaims all, and makes no, representations, warranties, conditions, or undertakings of any kind, whether express or implied, in connection with the Website, its content, or data, including, but not limited to, implied warranties and conditions of merchantability, fitness for a particular or general purpose, quality, title, and non-infringement. Legal Adjacency does not warrant that any errors or defects on the Website will be corrected.
Legal Adjacency does not represent, warrant, condition, or guarantee anything related to the Website, including any content or materials provided on or through the Website. Legal Adjacency does not assume responsibility for the conduct of any users of the Website
10. LIMITATION OF LIABILITY
Legal Adjacency will have no liability arising from this agreement, including your access or use of the Website, for these damages: direct, indirect, consequential, special, incidental, remote, speculative, exemplary, or punitive damages, or for loss of data, loss of profits, interruption, or loss of data. This exclusion of damages will apply however those damages are caused and regardless of any theory of liability or theory of relief, whether based in contract, tort, negligence or otherwise, even if Legal Adjacency has been advised of the possibility of those damages.
If the above exclusion of liability or damages is not enforceable under law, then Legal Adjacency’s maximum liability to you for any claims arising out of your use of the Website limited to CAD $100 in the aggregate.
Your only remedy for any claims related to this agreement or the Website is to stop using the Website.
11. LINKS TO OTHER WEBSITES OR CONTENT
The Website may contain links to websites or content not owned or operated by Legal Adjacency (“Other Stuff”). Linking to Other Stuff does not mean that Legal Adjacency endorses any Other Stuff. We have nothing to do with Other Stuff. We have no control or responsibility for Other Stuff, including its availability, accuracy, reliability, or legality of Other Stuff. Nor do we have control over, or say in, the contractual terms that providers of Other Stuff impose on your use of Other Stuff. For all these reasons and more, we make no representations, warranties, conditions, or promises about Other Stuff.
When you click-through to Other Stuff from the Website, you are doing so at your own risk. Legal Adjacency, therefore, cannot and will not be liable to you for anything arising from any Other Stuff.
12. SECURITY
Any data sent or received over the internet is generally not secure. Legal Adjacency cannot guarantee security of the Website or any transmission of data or messages to or from the Website. Always make sure that you are using good internet access and data security practices to protect yourself from hacks, viruses, malicious software, and other bad technology.
13. COMPLIANCE WITH LAWS
You will comply with all laws that apply to your access and use of the Website. Legal Adjacency reserves the right to investigate complaints or alleged violations of this agreement. Legal Adjacency may investigate any violations of law and may cooperate with law enforcement authorities if there is ever any investigation connected to your use of the Website. This could involve the disclosure of information necessary or appropriate to those persons relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information, as allowed under our Privacy Policy. This Section will survive this agreement’s termination.
14. COMMUNICATING WITH US
Email or contact forms, unless encrypted, are not a secure way to communicate. Do not send Legal Adjacency, or any of our personnel, any information that is confidential to you, or to anyone else, through the Website or email. If you wish to send confidential or sensitive information to Legal Adjacency personnel, please do so directly by phone, encrypted email, or through our client portal.
15. SUGGESTIONS AND FEEDBACK ABOUT US AND THE WEBSITE
At Legal Adjacency, we are always looking to improve the Website and our services. We would love to get your feedback or suggestions about the Website and what we do.
If you do provide Legal Adjacency with any suggestions, ideas, concepts, or other feedback of yours about the Website, our business, products, or services (collectively, “Submissions”), you then automatically grant Legal Adjacency an exclusive royalty-free, perpetual, irrevocable, transferable, sub-licensable, worldwide unrestricted right and license to the Submissions. This license grant allows Legal Adjacency to use or commercialize your Submissions and with no compensation to you. Be mindful of this when providing us with Submissions. You also waive in favour of Legal Adjacency and its successors and assigns all of your moral rights in all Submissions.
If you do provide Submissions to Legal Adjacency, you are representing and warranting to us that: (1) none of those Submission are confidential or proprietary to you or anyone else, and (2) providing those Submissions to us does violate any agreements to which you are a party.
16. GENERAL TERMS
The laws of the Province of Ontario and the laws of Canada applicable in the province, without reference to conflict of laws principles, govern this agreement.
You consent to the exclusive jurisdiction of the courts in the City of Kitchener, in the Province of Ontario, Canada, for all disputes arising out of or relating to using the Website and this agreement.
If one or more terms are invalid or unenforceable, those parts are severed, and the remaining terms continue in full force and effect.
Termination of this agreement does not relieve the parties of their obligations or liabilities accruing up to or upon termination, and those terms extending beyond this this agreement’s termination survive.
You cannot assign or transfer your rights under this agreement to any other person. Legal Adjacency can assign this agreement to any person without restriction.
This agreement enures to the benefit of and is binding on the parties and their respective heirs, executors, successors, and permitted assigns.
